Metzger to head firm’s new Trust and Estates Department & Palladino joins as member in the transactional department

Rosenberg and Estis, P.C., a leading New York City real estate law firm, welcomes Ted Metzger to head the firm’s newly formed Trust and Estates division.

Mr. Metzger has practiced law for more than 40 years. He’s shined for almost three decades at maximizing the transfer of intergenerational wealth for clients in numerous situations, including investors in and operators of real estate entities, small business owners, professionals, executives in finance, and in various family situations including members of traditional and non-traditional families. Mr. Metzger has extensive experience in drafting wills, various types of trusts, durable powers of attorney, living wills and health care proxies. He prides himself on working collaboratively with his clients and their other advisors including their accountants and financial advisors to craft each client’s estate plan to achieve their particular family wealth transfer, philanthropic, asset protection and other goals. Mr. Metzger also has wide experience in the administration of estates of all sizes and complexity, including the valuation of limited partnerships and other closely held entities.

Prior to joining Rosenberg & Estis, Mr. Metzger served as a partner at Levy Holm Pellegrino & Drath LLP (1993-2021), where he began as an of counsel attorney. Besides his estate planning, estate administration and post-mortem tax planning practice, Mr. Metzger is experienced in numerous areas of real estate law involving the purchase and sale of co-ops, condos, other commercial and residential property, financings and re-financings as well as structuring entities in connection with such transactions

Mr. Metzger also has successfully represented multiple clients in the purchases and sales of their businesses, including various structures such as F corporation reorganizations, stock and asset sales worth hundreds of millions of dollars.

Mr. Metzger holds a B.A. in history from the University of Pennsylvania and a J.D. from Columbia University, and he’s admitted to practice law in New York and New Jersey. He began his career practicing at Kelley Drye & Warren LLP (1978-82) before also working at Corwin & Solomon (1982-93), both in the New York Metro Area.

Mr. Palladino has practiced law for 15 years. Prior to joining Rosenberg & Estis, Palladino was special counsel with Duane Morris LLP. Mr. Palladino’s practice includes all aspects of transactional law including representing funds, developers and owner-operators in connection with acquisition and sales, joint ventures and financings of large-scale commercial property located throughout the United States.

Mr. Palladino also has experience representing REITs and other entities in the acquisition and sale of real estate including negotiating purchase and sale agreements and JV agreements and conducting related due diligence. He also has experience in bankruptcy law, structured finance, prospectus supplements, credit agreements, swap agreements and other financial agreements.

Mr. Palladino holds a B.S. in journalism and communications from New York University and a J.D. from Fordham University School of Law.
